Creator Agreement

This Creator Agreement ("Agreement") is entered into between Ecliptio Ltd, a company registered in Malta (Company Registration Number: C111698), with registered office at Northlink Business Centre Level 2, Triq Burmarrad, Naxxar, NXR 6345, Malta, VAT Number MT31906033 (the "Platform Operator"), and the individual or entity accepting this Agreement (the "Creator"). Together, the "Parties".

By checking the acceptance box during the Creator registration process on the Oracolarium platform, the Creator agrees to be bound by this Agreement in addition to the general Terms of Service.

1. Definitions

  • "Platform" means the Oracolarium application available at oracolarium.com, including any mobile or desktop versions, and any white-label, co-branded, API-powered, or syndicated versions of the application operated by or on behalf of Ecliptio Ltd. This includes instances where the Platform's technology is provided to third-party publishers or brands under commercial arrangements with Ecliptio.
  • "Creator Content" means all oracle card imagery, guidebook text, persona configurations, spread definitions, and associated metadata uploaded by the Creator.
  • "Deck" means a complete set of oracle cards with all associated Creator Content, published on the Platform.
  • "Digital Sale" means a one-time purchase of a digital Deck by an end user.
  • "Reading" means an AI-generated interpretive session using the Creator's Deck.
  • "Performance Bonus" means the tiered bonus payments based on monthly reading volume.
  • "Physical Product" means a printed version of the Creator's Deck produced and sold through the Platform.
  • "Net Revenue" means gross revenue minus payment processing fees (Stripe fees, currently approximately 2.9% + EUR 0.25 per transaction), refunds, and applicable taxes.
  • "Subscription" means a recurring paid plan purchased by end users granting enhanced access to Platform features, including unlimited readings across all available Decks.
  • "Standard Price" means EUR 12.99 for standard digital Decks and EUR 19.99 for AR Premium digital Decks, or as adjusted in accordance with Section 3.7.

2. Grant of License

2.1 License to Platform

The Creator grants Ecliptio a non-exclusive, worldwide, sublicensable license to:

  • Display, distribute, and sell the Creator Content through the Platform (including white-label and co-branded instances)
  • Use the Creator Content in connection with AI-powered reading functionality
  • Reproduce the Creator Content for the purpose of manufacturing Physical Products
  • Use the Creator's name, likeness, and Deck imagery for marketing and promotional purposes on the Platform and related channels
  • Create thumbnail, preview, and promotional derivatives of the Creator Content
  • Make the Creator Content available to subscribers of the Platform as part of their subscription access

2.2 Intellectual Property

The Creator retains full ownership and all intellectual property rights to the Creator Content. This Agreement does not transfer any IP rights to Ecliptio. The license granted herein is solely for the purposes described in this Agreement.

2.3 Non-Exclusivity

This license is non-exclusive. The Creator is free to publish, sell, or license the Creator Content through other platforms, channels, or their own website without restriction.

3. Revenue Share

3.1 Digital Deck Sales

The Creator receives 75% (seventy-five percent) of the Net Revenue from each Digital Sale of their Deck at the Standard Price. The Platform retains 25%.

3.2 AR Premium Deck Sales

For Decks published with AR Premium content, the Creator receives 75% of the Net Revenue from each AR Premium Digital Sale at the AR Premium Standard Price.

3.3 Performance Bonus

The Creator is eligible for monthly Performance Bonuses based on the total number of Readings performed with their Deck(s) across all users in a calendar month. Tiers are non-cumulative (only the highest achieved tier applies):

  • Tier 1: 500+ readings/month = EUR 100/month
  • Tier 2: 2,000+ readings/month = EUR 300/month
  • Tier 3: 5,000+ readings/month = EUR 800/month
  • Tier 4: 10,000+ readings/month = EUR 1,500/month

The Platform reserves the right to adjust Performance Bonus tiers with 90 days written notice.

3.4 Physical Product Royalties — Oracolarium Edition

For Physical Products (Oracolarium Edition) manufactured and sold through the Platform, the Creator receives a royalty of 20% (twenty percent) of the retail price excluding VAT and shipping.

3.5 Physical Product — Official Edition (Fulfilment by Creator)

Where a Creator offers their own printed edition ("Official Edition") for sale through the Platform, the following applies:

  • The end user purchases the Official Edition through the Platform checkout. Ecliptio acts as merchant of record and collects the full purchase price including VAT.
  • Ecliptio purchases the Official Edition from the Creator at a wholesale price equal to 88% of the retail price (excluding VAT and shipping). The remaining 12% is retained by Ecliptio as its margin.
  • Ecliptio remits the wholesale price to the Creator within the standard monthly payment cycle (see Section 4).
  • Upon receiving order details from Ecliptio, the Creator is responsible for manufacturing, shipping, and fulfilment of the Official Edition directly to the end user within the timeframe communicated at listing (typically 5–10 business days).
  • The Creator is responsible for all product quality, returns, and customer service related to Official Edition products. However, first-line customer inquiries received by Ecliptio will be forwarded to the Creator.
  • If the Creator fails to fulfil an order within 14 business days, Ecliptio may issue a full refund to the end user and deduct the refunded amount (including the wholesale price) from the Creator's next payout.

3.6 Subscription Revenue Exclusion

The Creator acknowledges and agrees that Platform Subscription fees (including Plus and Premium plans) are retained entirely by Ecliptio. Subscription revenue is not subject to revenue sharing with Creators. Subscription fees fund Platform operational costs, including but not limited to: AI processing fees (Anthropic Claude API), infrastructure and hosting costs, text-to-speech services, storage, marketing, ongoing Platform development and maintenance, and customer support.

The Creator's compensation for Readings performed by subscribers is provided through the Performance Bonus system described in Section 3.3 above. The Creator acknowledges that this structure has been factored into the 75% revenue share on Digital Sales, which is significantly above industry standard marketplace commissions.

3.7 Pricing and Promotional Discounts

Standard Pricing: The Standard Price for digital Decks is set by Ecliptio and published on the Platform. The current Standard Price is EUR 12.99 for standard Decks and EUR 19.99 for AR Premium Decks.

Promotional Discounts: Ecliptio may offer temporary promotional pricing for marketing campaigns (e.g., seasonal sales, launch promotions, bundle offers). Temporary promotional discounts shall not exceed 30% off the Standard Price without the Creator's prior written consent.

Permanent Price Changes: Any permanent change to the Standard Price requires 60 days written notice to affected Creators. If the new Standard Price is more than 20% below the current Standard Price, Creators may terminate this Agreement within 30 days of notification without penalty.

Floor Price: Under no circumstances shall a Creator's Deck be sold at less than EUR 6.99 for standard Decks or EUR 9.99 for AR Premium Decks without the Creator's explicit written consent. This floor price applies to all sales channels including white-label instances.

4. Payment Terms

4.1 Payment Schedule

Payments are made monthly, within 30 days of the end of each calendar month, for earnings accrued during that month.

4.2 Minimum Payout

The minimum payout threshold is EUR 50. If the Creator's monthly earnings are below this threshold, earnings are rolled over to the following month until the threshold is met.

4.3 Payment Method

Payments are made via bank transfer (SEPA for EU/EEA) or Stripe Connect to the account designated by the Creator. The Creator is responsible for providing accurate payment information.

4.4 Taxes

The Creator is solely responsible for reporting and paying all applicable taxes on income received under this Agreement. Ecliptio may withhold taxes where required by law and will provide annual earnings statements.

5. Creator Obligations

5.1 Content Quality

The Creator warrants that all Creator Content:

  • Is original and does not infringe any third-party intellectual property rights
  • Does not contain illegal, defamatory, or harmful material
  • Meets the Platform's minimum quality standards as communicated during onboarding
  • Includes a minimum of 36 oracle cards with distinct imagery
  • Includes a complete guidebook with per-card meanings (upright and reversed)

5.2 AI Persona Configuration

The Creator may configure an AI persona for their Deck (tone, style, references). The Creator acknowledges that AI-generated readings are produced by the Platform's AI engine and may not perfectly reflect the Creator's intended interpretation. The Creator has the opportunity to review and refine the AI persona during onboarding.

5.3 Content Updates

The Creator may update Creator Content at any time through the Creator Dashboard. Updates to card imagery, guidebook text, or AI persona configuration may take up to 48 hours to propagate across the Platform.

5.4 Official Edition Fulfilment

If the Creator offers an Official Edition (Section 3.5), the Creator is responsible for maintaining adequate stock or print-on-demand capacity to fulfil orders within the communicated timeframe. Persistent fulfilment failures (3 or more late/unfulfilled orders within 90 days) may result in suspension of the Official Edition listing.

6. Platform Obligations

  • Provide the Creator with a dashboard showing real-time analytics (readings, sales, revenue)
  • Make monthly payments in accordance with Section 4
  • Maintain the security and integrity of Creator Content
  • Provide reasonable notice of any Platform changes that materially affect the Creator's Deck
  • Not modify Creator Content without the Creator's consent, except for technical formatting required by the Platform

7. Content Moderation

Ecliptio reserves the right to review, and if necessary, remove or restrict access to any Creator Content that:

  • Violates applicable law or these terms
  • Infringes third-party intellectual property rights
  • Contains harmful, abusive, or discriminatory content
  • Is fraudulent or misleading
  • Does not meet minimum quality standards

Before removing content (except in cases requiring immediate action for legal compliance or safety), Ecliptio will notify the Creator and provide 14 days to remedy the issue.

8. Term and Termination

8.1 Term

This Agreement begins on acceptance and continues until terminated by either Party.

8.2 Termination by Creator

The Creator may terminate this Agreement at any time with 30 days written notice to legal@oracolarium.com. Upon termination, the Creator's Deck(s) will be removed from public sale and discovery on the Platform within 30 days.

8.3 Termination by Platform

Ecliptio may terminate this Agreement with 60 days written notice. In cases of material breach (including IP infringement or fraudulent activity), Ecliptio may terminate immediately with written notice.

8.4 Post-Termination Effects

Upon termination, the following shall apply:

  • Removal from Sale: The Creator's Deck(s) will be removed from public sale, discovery, search results, and marketplace listings within 30 days. No new purchases or subscriptions will include access to the Creator's Deck.
  • Existing License Holders: End users who purchased the Creator's Deck prior to termination retain their existing license to access the content for personal use. This is a consequence of the one-time sale license already granted to those users and is standard industry practice (consistent with Kindle, Steam, Apple, and other digital marketplaces).
  • Content Archival: To service existing license holders, Creator Content will be moved to an archived state accessible only to prior purchasers. Archived content will NOT appear in search results, recommendations, marketing materials, or any public-facing area of the Platform. Archived content will NOT be available for new readings by subscribers who did not previously purchase the Deck.
  • Outstanding Payments: Ecliptio will pay all outstanding earnings within 60 days of termination.
  • Physical Products: Physical Products already manufactured remain available for sale until stock is depleted; royalties continue to apply. No new print runs will be initiated after termination.

8.5 Creator-Requested Full Deletion

If the Creator requires complete deletion of all content from the Platform (including archived copies), the following applies:

  • The Creator must submit a written Full Deletion Request to legal@oracolarium.com, specifying the reason for the request.
  • Ecliptio will permanently delete all Creator Content from Platform servers within 90 days of accepting the request.
  • Existing license holders will be notified that the content is no longer available.
  • Refund Reimbursement: If Ecliptio, in its sole discretion, determines that refunds to affected users are appropriate or legally required as a result of the Full Deletion, the Creator agrees to reimburse Ecliptio for the total amount of refunds issued, plus a 10% administrative fee. Ecliptio may set off this amount against any outstanding payments owed to the Creator. If outstanding payments are insufficient to cover the refund liability, Ecliptio will invoice the Creator for the balance, payable within 60 days.
  • Ecliptio reserves the right to decline a Full Deletion Request if the anticipated refund liability exceeds the Creator's outstanding balance and the Creator does not provide adequate financial assurance. In such case, the standard Post-Termination archival provisions (Section 8.4) shall apply instead.

9. Representations and Warranties

The Creator represents and warrants that:

  • They have the legal authority to enter into this Agreement
  • They are the sole owner of the Creator Content or have obtained all necessary rights and permissions
  • The Creator Content does not infringe any patent, trademark, copyright, or other intellectual property right
  • They will comply with all applicable laws and regulations in their jurisdiction

10. Indemnification

The Creator agrees to indemnify and hold harmless Ecliptio from any claims, damages, or expenses arising from: (a) breach of the Creator's representations and warranties; (b) infringement of third-party IP rights by Creator Content; (c) the Creator's violation of any applicable law.

11. Limitation of Liability

Ecliptio's total liability under this Agreement shall not exceed the total payments made to the Creator in the 12 months preceding the claim. Ecliptio is not liable for any indirect, consequential, or incidental damages.

12. Confidentiality

Both Parties agree to keep confidential any non-public information received from the other Party, including but not limited to revenue data, business strategies, and proprietary technology. This obligation survives termination for 2 years.

13. Dispute Resolution

The Parties shall attempt to resolve any dispute amicably through negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Malta. This Agreement is governed by the laws of Malta.

14. Amendments

Ecliptio may amend this Agreement with 60 days written notice. If the Creator does not accept the amended terms, they may terminate this Agreement within 30 days of notification. Continued publication of Decks after the amendment effective date constitutes acceptance.

15. Miscellaneous

  • This Agreement constitutes the entire agreement between the Parties regarding its subject matter
  • No waiver of any provision shall be deemed a continuing waiver
  • If any provision is found unenforceable, the remaining provisions continue in full force
  • The Creator may not assign this Agreement without Ecliptio's written consent
  • Ecliptio may assign this Agreement to a successor entity in the event of a merger or acquisition
